WHEREAS
the Association was incorporated by Letters Patent issued by the
Lieutenant-Governor of Ontario on the 26th day of April, 1961, and amended
by Supplementary Letters Patent dated the 12th day of October, 1972 and
the 25th day of February, 1977, 2003.
AND
WHEREAS the Association wishes to revise its by-law respecting the
conduct of the affairs of the Association:
BE
IN ENACTED as a by-law of the Community Living Upper Ottawa Valley (the "Association") as follows:
1.
INTERPRETATION
1.1.
In this by-law and all other by-laws and resolutions of the Association,
unless the context otherwise requires:
a)
the singular includes the plural;
b)
the masculine gender includes the feminine;
c) "Association" means Community Living Upper Ottawa Valley (or such other name as the Association may legally
adopt);
d)
"Board" means the board of directors of the Association;
e)
"Corporations Act" means the Corporations Act, RSO 1980, Chapter
89, and any statute amending or enacted in substitution therefore, from
time to time;
f)
"Documents" includes deeds, mortgages, charges, conveyances,
transfers and assignments of property, real or personal, immoveable or
moveable, agreements, releases, receipts, and discharges for the payment
of money or other obligations, conveyances, transfers and assignments of
shares, bonds, debentures or other securities and all paper writings;
g)
"Executive Officers" means the persons who hold the offices
enumerated in Section 10.1;
h)
"Letters Patent" means the letters patent incorporating the
Association as from time to time amended and supplemented by supplementary
letters patent;
i)
"Past President" means the person whose term of office as
President has most recently expired and who is willing to serve as such.
1.2
All terms defined in the Corporations Act have the same meanings in this
by-law and all other by-laws and resolutions of the Association.
2.
HEAD
OFFICE
The
head office of the Association shall be in the City of Pembroke, in the
County of Renfrew, in the Province of Ontario; and at such place therein
as the Board may from time to time determine.
3.
GEOGRAPHIC
AREA SERVED
The
Association serves Renfrew County and/or parts thereof.
4.
SEAL
The
corporate seal of the Association shall be in the form impressed hereon.
5.
FINANCIAL
YEAR
The
financial year of the Association shall terminate on the 31st day of March
in each year or on such other date as the Board may from time to time by
resolution determine.
6.
MEMBERSHIP
IN THE ONTARIO ASSOCIATION FOR COMMUNITY LIVING
The
Association shall be a member of the Ontario Association for Community
Living
