13.1
Composition
The
Nomination and Membership Committee shall consist of:
|
a)
a Chairperson who is a director and recommended by the Executive
Committee and approved by the Board;
b)
at least two (2) voting members, one of whom may be a director,
recommended by the Executive Committee and approved
by the Board; and
c)
the Executive Director, who shall serve ex-officio. |
13.1.1
Vacancies
Vacancies
on the Nomination and Membership Committee shall be filled by the Board
from those eligible to serve.
13.2
Eligibility
The
Chairperson shall be a director and all members of the Committee shall be
voting members of the Association (other than the Executive Director who
shall serve ex-officio with no right to vote).
13.2.1.
Non-Disqualification
No
member of the Nomination and Membership Committee who is otherwise
qualified shall be disqualified from nomination as a director.
13.3
Responsibilities
The
Nomination and Membership Committee shall:

a)
solicit potential nominees for election to the Board;
b)
circulate to the membership no less than ten (10) days prior
to the Annual Meeting its recommendations of nominees
for election to the Board;
c)
present to the membership at the Annual Meeting its recommendation
of nominees for election to the Board;
d)
make recommendations to the Board respecting any vacancy on the
Board;
e)
recruit members who will support the purposes and objects
of the Association;
f)
arrange for renewal of memberships. |
13.4
Meetings
The
Nomination and Membership Committee shall meet at the call of the
Chairperson and at least four (4) times during each year.
13.5
Term
of Office
The
existence of each Nomination and Membership Committee shall be terminated
automatically upon the presentation to the membership at the Annual
Meeting of its recommendation of nominees for election to the Board.
