10.1
Executive Officers
The
Executive Officers of the Association shall be a President, 1st Vice
President, 2nd Vice President, Treasurer, Secretary, and the Past
President. One person may hold more than one office except the offices of
President and Secretary.
The
Executive Officers (excepting the Secretary and the Past President) shall
be elected by the directors from amongst themselves at the first meeting
of the Board after the election of directors at an Annual Meeting.
10.2
Eligibility
for Office
The
elected Executive Officers of the Association, with the exception of the
Treasurer, shall have served on the Board for at least one (1) year prior
to election. No President shall serve for more than two (2) consecutive
terms.
10.3
Terms
of Office
Directors
elected as Executive Officers shall hold office until the first Annual
Meeting after such an election.
10.4
Termination
of Executive Officers
10.4.1
Removal
for Cause
The
Board may, by resolution, remove any Executive Officer for cause before
the expiration of his term of office.
10.4.2
Resignation
An
Executive Officer of the Association may resign his office by submitting a
letter of resignation to the President of the Association.
10.5
Vacancies
of Executive Officers
If
a vacancy occurs in the office of President or if for any reason the
President is no longer able to act in that capacity, the 1st
Vice-President (and in his absence, the 2nd Vice-President) is authorized
to act and to assume all responsibilities of the office of President.
A
meeting of the Board shall be held within four (4) weeks for the purpose
of electing a new President.
Vacancies
in other offices shall be filled by the directors for the balance of the
unexpired terms from amongst those eligible to serve.
10.6
Responsibilities
10.6.1
President
The
President shall:
|
a)
represent the Association in the community;
b)
preside at all meetings of the membership and act as Chairperson
of the Board and the Executive Committee;
c)
exercise general supervision over all Association activities
in accordance with policies determined by the
Board;
d)
be a member ex-officio of all Committees except the Nomination
and Membership Committee. |
10.6.2
1st
Vice-President
The
1st Vice-President shall:
|
a)
assume the duties of the presidency in the absence for any
reason, of the President;
b)
carry out such duties as are assigned by the Board or the
President. |
10.6.3
2nd
Vice-President
The
2nd Vice-President shall:
|
a)
assume the duties of the 1st Vice-President in the absence
for any reason, of the President and 1st Vice-President;
b)
carry out such duties as are assigned by the Board or the
President. |
10.6.4
Treasurer
The
Treasurer shall:
|
a)
exercise general supervision over the financial administration
of the Association;
b)
ensure that full and accurate accounts of all receipts and
disbursements are maintained;
c)
ensure that all monies or other valuable effects in the name of
and to the credit of the Association are deposited in such banks as
may be directed by the Board;
d)
ensure the disbursement of funds in accordance with the direction
of the Board;
e)
ensure the submission of the books of account for audit
at the close of the financial year and present the
audited financial statements to the membership at the
Annual Meeting of members;
f)
be a member ex-officio of any committee with responsibilities
for financial matters;
g)
carry out such duties as are assigned by the Board or
the President. |
10.6.5
Secretary
The
office of Secretary shall be filled by appointment of the Executive
Director and the Secretary shall:
|
a)
ensure that Association records are regularly and properly
kept and all business is conducted in accordance with any
applicable statute or law, the Letters
Patent and By-laws and further policies and
procedures established by the Board;
b)
ensure the maintenance of accurate records of all Annual
and General Meetings of members, Board meetings
and Executive Committee meetings and control
of all correspondence and shall receive all
reports of the Committee Chairpersons and present reports,
statements, budgets or surveys required by
the Board, Committees or outside agencies and be
the custodian of the Association's corporate seal
and all its documents;
c)
be a member ex-officio of all Committees of the Board
(with no power to vote) with the privilege of
designating a substitute;
d)
carry out such duties as are assigned by the Board or the
President. |
10.7
Executive
Director
The
Board shall appoint an Executive Director who shall hold such position at
the pleasure of the Board. Subject to any duties or responsibilities
imposed or any directions given from time to time by the Board, the
Executive Director shall be the Secretary of the Association and the chief
operating officer of the Association responsible for all day-to-day
operations of the Association in accordance with the policies established
by the Board. The Executive Director shall report to and be accountable to
the Board.
