a) members having the right to vote at the beginning of such Annual Meeting shall have the right to vote throughout such Annual Meeting;

b) voting members shall have the right to nominate members to fill vacancies on the Board; and

c) the provisions of the second paragraph of Section 9.5 hereof shall not apply.
