Standing Committees


The Executive Committee shall recommend Standing Committees to the Board which shall not include the Nomination and Membership Committee.

12.1 Composition

a) a Chairperson who is a director;

b) the President and Executive Director, each of whom shall serve ex-officio;

and also may consist of:

a) one or more staff persons;

b) one or more voting members.

12.2 Term of Office

The existence of each Standing Committee shall be terminated automatically upon:

a) the completion of each Annual Meeting;

b) a resolution of that effect of the Board or Executive Committee by which it was constituted whichever occurs first.

12.3 Voting Rights

Each member of a Standing Committee, present at a meeting (except for staff persons) shall be entitled to one (1) vote. In the case of an equality of votes, the Chairperson shall have a second or casting vote.

12.4 Eligibility

The Chairperson shall be a director of the Association. The absence of a member of a Standing Committee from three (3) consecutive meetings shall constitute a vacancy on such Standing Committee.

12.5 Responsibilities

Each Standing Committee shall be responsible to the Board and shall undertake such assignments as the Board may request and shall be responsible for:

a) the formulation and recommendation to the Board of policies and plans affecting the matters for which it is responsible;

b) the observance and monitoring of such policies and plans affecting the matters for which it is responsible;

c) the keeping of minutes of its meetings and reporting to the Board at regular intervals and at any time upon request;

d) the preparation of an Annual Report of the matters for which it is responsible, to be presented to the membership by the Board.

12.6 Meetings

Regular meetings shall be held as required by the responsibilities assigned to the Standing Committees by the Board.

12.7 Quorum

A quorum of a Standing Committee shall be the majority of its voting members.
